Buying or selling a company is no everyday event. For this reason, PKF-VMB offers customised transaction support for prospective buyers and sellers, ranging from due diligence, through valuation and structuring to business modeling.

Due diligence for buyer or seller

By means of a detailed investigation of the accounts, the risks relating to the target company and the acquisition are identified and evaluated. We often also add conclusions from other experts (lawyers, environmentalists, etc.) to this report.

In the case of a sale, we can produce a detailed report showing the financial health and future prospects of a company. Producing a report of this kind gives you various advantages:

  • It increases your knowledge of your own company;
  • It strengthens your negotiating position;
  • It provides a professional image to prospective buyers.

Financial resources are crucial

Thanks to our wide experience, we are familiar with all the commercial and financial factors that are crucial to successful mergers and takeovers. So we know that a takeover or an investment can only be achieved with sufficient financial resources. For this reason, we will draw up a financing memorandum with you, which supports the balance-sheet structures, results and cashflows that are presented.

Business modeling

We can also help you to convert your commercial strategy into a business plan, taking into account your current market position and the services or products that you are currently marketing or wish to market in the future.

In addition to structuring the transaction, we will work out with you the structuring of the transaction costs, such as:

  • Organisational structure;
  • Optimising your VAT deductions;
  • Transfer pricing for the management fees
